Setting up a company in Spain: common questions

What do you need to set up a company in Spain?
Incorporating a limited company (sociedad limitada, SL) involves choosing the legal form, obtaining the company-name clearance certificate, drafting the articles of association and, where appropriate, the shareholders agreement, contributing the share capital, executing the deed before a notary and registering it at the Commercial Registry, and completing tax and social security registration. We coordinate the whole process so the company can start trading as soon as possible.
What is the minimum share capital for a Spanish SL?
Since Law 18/2022 on business creation and growth, a limited company can be incorporated with a minimum share capital of 1 euro (previously 3,000 euros). While the capital is below 3,000 euros, two legal safeguards apply: at least 20% of profits must go to the legal reserve until that figure is reached, and, on winding up with insufficient assets, the shareholders are jointly liable for the difference up to 3,000 euros.
How long does it take to set up a company?
It depends on the legal form and the documents available. With the name reserved, the deed executed and electronic filing, incorporation can be completed within a few days to a few weeks until registration. Tax and social security formalities are handled in parallel.
Can a non-resident foreigner set up a company in Spain?
Yes. A non-resident foreigner can be a shareholder or director of a Spanish company. They will need a foreigner identification number (NIE) or the relevant NIF, and can act through a power of attorney if not present in Spain. We advise international founders and investors throughout the process.
What is a shareholders agreement and why sign one?
The shareholders agreement governs the relationship between shareholders beyond the articles of association: reinforced majorities, entry and exit of shareholders, transfer of shares, non-compete or deadlock resolution. It anticipates disputes before they arise and protects both the project and each shareholder.
